IMPORTANT LEGAL NOTICE — PLEASE READ CAREFULLY
These Terms of Service constitute a legally binding agreement between you and Mind Flex Games LLC. By accessing or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.
1. Acceptance of Terms
By creating an account, accessing, browsing, or using any portion of the Mind Flex Games LLC ("FanDrill") platform, mobile applications, APIs, or related services (collectively, the "Services"), you ("User," "you," or "your") confirm that you:
- Are at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is greater);
- Have the legal capacity and authority to enter into this agreement;
- Are not prohibited from participating in daily fantasy sports contests under any applicable law, regulation, or rule;
- Have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, Contest Rules, and any other policies incorporated herein by reference;
- Will comply with all applicable federal, state, and local laws and regulations.
These Terms may be updated from time to time. We will notify you of material changes via email or prominent in-platform notice. Continued use of the Services after the effective date of any update constitutes acceptance of the revised Terms.
2. Definitions
- Company / We / Us: Mind Flex Games LLC (doing business as FanDrill), a Delaware limited liability company, including its affiliates, subsidiaries, officers, directors, employees, and agents.
- Platform: The FanDrill website (www.FanDrill.com), mobile applications, and all associated digital properties and APIs.
- Daily Fantasy Sports (DFS): Skill-based contests in which participants select rosters of real athletes and earn points based on those athletes' real-world statistical performance over a designated period.
- Contest: Any DFS competition offered on the Platform, including but not limited to guaranteed prize pools (GPPs), head-to-head matchups, 50/50s, and satellites.
- Entry Fee: The amount paid by a User to enter a Contest.
- Prize: Any cash, credits, or non-cash award awarded to winning Users in a Contest.
- Account Balance: The sum of Deposited Funds and any bonus or promotional credits held in a User's account.
- Deposited Funds: Real-money amounts deposited by a User, excluding any bonus credits.
- Prohibited Jurisdiction: Any state, territory, or country where participation in DFS for prizes is prohibited or restricted by law.
- Highly Experienced Player (HEP): A User who has won a cumulative total of $1,000 or more in Contest prizes on the Platform, as defined more fully in Section 10.
3. Eligibility
3.1 Age Requirement
You must be at least 18 years of age to create an account or participate in any Contest. In jurisdictions where the legal age of majority exceeds 18, you must meet the higher age requirement. We reserve the right to request age verification documentation at any time and to suspend or terminate accounts pending verification.
3.2 Geographic Restrictions
Residents of the following states and territories are NOT eligible to participate in real-money Contests on our Platform: Arizona, California, Florida, Georgia, Hawaii, Idaho, Montana, Nevada, South Dakota, Texas, Washington, and any other jurisdiction where DFS is prohibited by applicable law. This list is subject to change based on evolving laws and regulations. It is your sole responsibility to determine whether your participation is lawful in your jurisdiction.
3.3 Excluded Persons
The following individuals are ineligible to participate in Contests:
- Employees, contractors, officers, and directors of Mind Flex Games LLC and its affiliates;
- Immediate family members and household members of FanDrill employees;
- Employees of professional sports leagues, teams, or governing bodies whose athletes or statistics are used in Contests;
- Athletes, coaches, managers, referees, or other individuals who can influence the outcome of sporting events used in Contests;
- Employees of sports data and statistics providers who supply data to FanDrill;
- Individuals who have been self-excluded or permanently banned from the Platform.
3.4 Single Account Policy
Each individual may maintain only one (1) active Account. Creating duplicate or multiple accounts is strictly prohibited and will result in permanent suspension of all associated accounts and forfeiture of all balances and winnings. Accounts are not transferable.
4. Account Registration and Security
4.1 Registration Requirements
To access Contest features, you must create an Account by providing accurate, current, and complete information, including legal first and last name, date of birth, valid email address, U.S. mailing address, and the last four digits of your Social Security Number (for identity verification and tax reporting purposes). Providing false information constitutes fraud and may result in criminal liability in addition to account termination.
4.2 Identity Verification
We are required by law to verify the identity of our users. We use third-party identity verification services to confirm your identity. You authorize us to conduct identity verification checks and to share your information with our verification partners solely for this purpose.
4.3 Account Security
You are responsible for maintaining the confidentiality of your username and password. Use a strong, unique password and do not share it with any third party. Notify us immediately at security@FanDrill.com of any unauthorized access or suspected breach. FanDrill will never ask for your password via email or unsolicited phone call.
5. Deposits, Withdrawals, and Account Funds
5.1 Deposits
You may fund your Account using approved payment methods, including credit/debit cards, ACH bank transfer, PayPal, and other methods as displayed on the Platform. All deposits must originate from a payment method held in your own name. Third-party deposits are strictly prohibited.
5.2 Withdrawals
Withdrawal requests are subject to the following conditions:
- You must have completed identity verification before any withdrawal is processed;
- Minimum withdrawal amount: $10.00;
- Withdrawals will be returned to your original deposit method where possible;
- You may be required to provide additional documentation (e.g., W-9) before processing withdrawals above certain thresholds;
- Processing times vary by method: ACH (3–5 business days), check (7–10 business days), digital wallet (1–2 business days);
- Bonus funds and promotional credits are not withdrawable and will be forfeited upon withdrawal of Deposited Funds unless stated otherwise in applicable promotion terms.
5.3 Inactive Accounts
An Account is considered inactive if no deposits, withdrawals, or Contest entries have been made for twelve (12) consecutive months. We reserve the right to charge an inactivity fee of $3.00 per month on inactive accounts with a positive balance, after providing thirty (30) days' prior written notice, provided that total inactivity fees shall not exceed $36.00 per account.
5.4 Funds Held in Trust
All Deposited Funds are held in segregated accounts, separate from FanDrill's operating funds, at FDIC-insured banking institutions. Deposited Funds are not invested and are held solely for the purpose of facilitating Contest entries and Prize disbursements.
6. Contests, Gameplay, and Prizes
6.1 Contest Entry
Participation in Contests requires payment of the applicable Entry Fee. By entering a Contest, you agree to the specific rules, scoring, and prize structure displayed for that Contest. Contest entry is final; entry fees are non-refundable except as expressly provided in Section 6.5.
6.2 Entry Limits and Multi-Entry Contests
Entry limits vary by Contest type and are clearly displayed before entry. For multi-entry Contests, Users may submit multiple distinct lineups up to the stated maximum. Users may not submit duplicate lineups in the same Contest.
6.3 Roster Construction
Roster construction must comply with the salary cap, positional requirements, and eligibility rules specified for each Contest and sport. We reserve the right to disqualify any lineup that does not comply with roster construction rules, even if a system error permitted the submission.
6.4 Scoring and Statistics
Fantasy points are awarded based on real athletes' statistical performance as reported by our official data providers. All scoring is subject to our official scoring rubrics, available on the Platform. Official statistics become final as designated by FanDrill, generally forty-eight (48) to seventy-two (72) hours following the conclusion of the last game in a Contest slate.
6.5 Contest Cancellations and Refunds
A Contest may be cancelled if it fails to meet the minimum number of entries required to run, a substantial number of games in the slate are postponed, cancelled, or otherwise not played, or regulatory, technical, or force majeure events prevent the Contest from proceeding. In the event of cancellation, all Entry Fees will be refunded to your Account Balance.
6.6 Prize Disbursement
Prizes will be credited to your Account Balance within forty-eight (48) hours of Contest finalization, subject to identity verification and eligibility confirmation. Prize winnings of $600 or more in a calendar year are subject to federal income tax reporting. You are solely responsible for all applicable taxes on Contest winnings.
7. Nature of Daily Fantasy Sports
Daily Fantasy Sports are skill-based games. Contest outcomes are determined predominantly by the relative knowledge, judgment, and skill of participants in selecting athlete rosters, and are not determined by chance alone. FanDrill contests comply with applicable federal law (the Unlawful Internet Gambling Enforcement Act of 2006, 31 U.S.C. §§ 5361–5367) and applicable state laws where permissible. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. Participation in Contests involves risk of financial loss. You should not participate with funds you cannot afford to lose.
8. Prohibited Conduct
You agree NOT to engage in any of the following conduct. Violation of any prohibition may result in immediate account suspension, forfeiture of all balances and prizes, and/or legal action.
8.1 Integrity Violations
- Colluding with other Users to manipulate Contest outcomes;
- Using insider information not available to the general public;
- Participating in Contests where you have a duty of confidentiality regarding information relevant to athlete performance;
- Engaging in any form of match-fixing, game manipulation, or other corrupt conduct.
8.2 Automation and Software
- Using bots, scripts, automated tools, or third-party software to create lineups or interact with the Platform without written authorization;
- Reverse engineering, scraping, or systematically extracting data from the Platform;
- Using unauthorized APIs or bypassing technical measures implemented by FanDrill.
8.3 Account Abuse
- Creating or operating multiple accounts;
- Allowing third parties to access or use your Account;
- Using another person's identity or payment method;
- Initiating fraudulent chargebacks or payment disputes.
8.4 General Conduct
- Harassing, threatening, or abusing other users or FanDrill personnel;
- Posting or transmitting illegal, defamatory, or offensive content;
- Attempting to gain unauthorized access to other users' accounts or to our systems;
- Violating any applicable law or regulation.
9. Responsible Play
FanDrill is committed to promoting responsible participation in daily fantasy sports. We offer deposit limits (daily, weekly, monthly — increases subject to a 72-hour cooling-off period), entry fee limits, cool-off periods (24 hours, 7 days, 30 days), and self-exclusion. Self-exclusion is irrevocable; Deposited Funds are refunded and any bonus or promotional credits are forfeited. 10. Highly Experienced Player (HEP) Identification
FanDrill identifies and labels Highly Experienced Players (HEPs) — users whose skill levels materially exceed those of recreational players. A User will be designated as a HEP if they have won $1,000 or more in cumulative Contest prizes on the Platform, entered 1,000 or more Contests on any DFS platform (as self-reported and verified), or been identified through algorithmic analysis as demonstrating performance patterns consistent with a professional-level player. HEP status is displayed on your public profile. HEPs may face restrictions from certain Beginner-only Contests.
11. Intellectual Property
11.1 FanDrill's IP
The Platform and all of its contents, including but not limited to text, graphics, logos, icons, software, scoring systems, Contest formats, and data compilations, are the exclusive property of Mind Flex Games LLC and are protected by U.S. and international copyright, trademark, patent, and trade secret laws.
11.2 Limited License
Subject to your compliance with these Terms, FanDrill grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial use.
11.3 User Content
Any content you submit through the Platform (e.g., forum posts or comments) grants FanDrill a worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in connection with the operation and promotion of the Platform. Personal profile information is governed solely by our Privacy Policy.
12. Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FANDRILL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIND FLEX GAMES LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL FANDRILL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL ENTRY FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) $100.00.
14. Indemnification
You agree to indemnify, defend, and hold harmless Mind Flex Games LLC and its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of or access to the Platform, your violation of these Terms or any applicable law, your violation of any third-party rights, any content you submit, or your participation in any Contest.
15. Dispute Resolution and Arbitration
15.1 Informal Resolution
Before initiating formal proceedings, you agree to contact FanDrill at legal@FanDrill.com and attempt to resolve the dispute informally for a period of thirty (30) days.
15.2 Binding Arbitration
If informal resolution fails, you and FanDrill agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
15.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND FANDRILL EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15.4 Exceptions
Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
15.5 Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent superseded by the Federal Arbitration Act.
16. Privacy and Data Protection
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. We take commercially reasonable measures to protect your personal and financial data. However, no transmission over the internet is 100% secure, and we cannot guarantee the absolute security of your information.
17. Account Suspension and Termination
17.1 Termination by You
You may close your Account at any time by contacting support@FanDrill.com. Upon closure, your Deposited Funds balance (net of any applicable fees or deductions) will be refunded to you within ten (10) business days.
17.2 Termination by FanDrill
We reserve the right to suspend, restrict, or terminate your Account at any time for breach of these Terms, suspected fraud or integrity violations, failure to verify identity, regulatory requirements, chargebacks, or our sole business discretion. In cases of suspected fraud or integrity violations, we may freeze your Account and withhold your balance pending investigation for a period not to exceed one hundred eighty (180) days.
18. Modifications to the Platform and Terms
FanDrill reserves the right, at any time and in its sole discretion, to modify, suspend, or discontinue any aspect of the Platform; amend these Terms, Contest Rules, scoring systems, or any other policies; and adjust prize structures, entry fee ranges, or salary cap parameters. Material changes will be communicated with at least fourteen (14) days' advance notice.
19. Miscellaneous Provisions
19.1 Entire Agreement
These Terms, together with the Privacy Policy, Contest Rules, and any other policies expressly incorporated herein, constitute the entire agreement between you and FanDrill.
19.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
19.3 Waiver
No failure or delay by FanDrill in exercising any right or remedy will constitute a waiver of that right or remedy.
19.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. FanDrill may assign its rights and obligations hereunder without restriction.
19.5 Notices
All notices to FanDrill must be sent to Mind Flex Games LLC, Legal Department, 1901 Main St, 18th Floor #2039, Columbia, SC 29201, United States, or via email to legal@FanDrill.com.
19.6 Force Majeure
FanDrill shall not be liable for any failure to perform its obligations under these Terms if such failure results from events beyond our reasonable control.
19.7 No Agency
Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and FanDrill.
